Please read these Terms of Service ("Terms") carefully before using the website or engaging the services provided by Rain Assembly (the "Company," "we," "our," or "us"). By accessing this website, booking a strategy call, or submitting an inquiry, you agree to be bound by these Terms.

1. Parties & Acceptance of Terms

Rain Assembly is a Sole proprietorship founded in 2015 by Fred Nilson, Founder & CEO. The Company provides the Rain Assembly Business Development Operating System to B2B service companies on a remote delivery basis. Your use of this website or submission of any form constitutes acceptance of these Terms.

2. Scope of Services

Rain Assembly provides the Rain Assembly Business Development Operating System, which may include high-performance websites, CRM pipeline setup, missed-call text-back, automated follow-up sequences, a 24/7 AI voice agent that answers and books calls, cold prospecting outreach, business card scanning automation, custom dashboards, and contact deduplication. The specific deliverables applicable to your engagement are defined during the strategy call and confirmed before work begins.

Social media post design and animation are available on request as a secondary service and are not part of the primary operating system packages.

3. Terms of Engagement & Guarantees

• Rapid 48-Hour Initiation: System setup and initial draft structures commence within 48 hours of your completed strategy session and onboarding information.
• Month-to-Month Retainer: Services are billed on a month-to-month basis with no long-term contracts. Either party may cancel at any time in accordance with the cancellation terms agreed during onboarding.
• See It Work Before You Pay: Clients review the operating system running for their process before finalizing financial commitment.
• No Search Ranking Guarantees: Services are engineered for modern technical seo and ai-search visibility. We do not guarantee specific numerical search engine rankings or particular levels of traffic, leads, or revenue, which depend on factors outside our control.

4. Pricing & Payment

Pricing for each tier is confirmed during the strategy call and documented in your engagement summary before any work begins. Unless otherwise agreed in writing, payment is due monthly in advance on a month-to-month basis. Any applicable taxes are the responsibility of the client.

5. Client Responsibilities

To enable timely delivery, clients agree to provide reasonably requested access, information, and approvals — including brand assets, existing account credentials where applicable, and timely responses to review requests. Delays in providing required information may extend the 48-hour initiation timeline.

6. Intellectual Property

Upon full payment, clients receive a license to use the configured operating system and associated deliverables for their internal business operations. Rain Assembly retains ownership of its underlying methodologies, templates, and proprietary frameworks not specifically customized for the client.

The Rain Assembly Business Development Operating System and this website are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Rain Assemblydisclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or completely secure, or that any particular business outcome — including search rankings, traffic, leads, or revenue — will result from the engagement. Results depend on factors both within and outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, Rain Assembly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising from your use of the website or services. Our total liability for any claim arising out of or relating to these Terms or the services is limited to the amount you have paid us for the services in the three months preceding the claim.

10. Termination

Either party may terminate the engagement at any time in accordance with the month-to-month terms agreed during onboarding. Upon termination, Rain Assembly will wind down active services in an orderly manner and provide reasonable transition support as described in your engagement summary.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any disputes arising under these Terms shall be resolved in the courts located in the State of California, subject to confirmation by the client during legal review.

12. Changes to These Terms

We may update these Terms from time to time. Changes are posted on this page with a revised "Last updated" date. Your continued use of the website or services after changes are posted constitutes acceptance of the updated Terms.
